Acknowledge that all materials are protected under U.S. Copyright laws and regulations and are subject to any civil or criminal penalties if you violate the UltimateIDX copyrights. You also agree NOT to copy or reproduce any articles, wording or photographs without the written consent of the UltimateIDX. You also agree to hold UltimateIDX.com, its’ Officers, Employees and Shareholders harmless for 3rd party information and links to 3rd party sites. Outgoing links from our site is for informational purposes only and you should verify any warranties or claims independently prior to conducting business with these parties.
UltimateIDX Inc. reserves the right to deny of withhold services to any individual or organization for any legitimate or security reason.

Disruption of Services:

UltimateIDX Inc. reserves the right to disrupt services to any individual or organization for:

• Lack of payment.
• Breach of any part of this agreement.
• Disclosure of proprietary information.
• Sharing your login credentials with UltimateIDX competitors or other unauthorized parties. All login IP address are stored.

A disruption of services may or may not come with prior notice by UltimateIDX Inc..

Limitation of Liability:

THE LIMIT OF LIABILITY OF ULTIMATEIDX INC. WILL BE LIMITED TO THE AMOUNT PAID FOR SERVICES WITHOUT EXCEPTION. IN NO EVENT WILL UltimateIDX Inc. BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, OR ANY INFORMATION, OR TRANSACTIONS PROVIDED ON THE SERVICE, OR DOWNLOADED FROM THE SERVICE, OR ANY DELAY OF SUCH INFORMATION OR SERVICE. EVEN IF UltimateIDX Inc. OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH THE SERVICE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, UltimateIDX Inc. LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

1. Copyright, Licenses and Idea Submissions.
We reserve all copyrights to our product(s), designs, UIDX generated articles and images on this website and those we create.
2. Use of the Service.
You may use this site for information purposes only. Do not copy or reproduce and images, articles or portions of articles without express written permission from the management of the UltimateIDX.

• RETS/IDX Client agrees to pay all fees (if any) from his/her MLS Board of Realtors for data access to listings and listings photos databases. If the UltimateIDX is charged by the Client’s MLS Board of Realtors for data access the Client agrees to accept and pay any invoices as a pass through to the Client. The Client further acknowledges that the UltimateIDX has no control over charges or increase in rates by their MLS Board of Realtors for this data. Client further acknowledges the UltimateIDX is a 3rd party vendor and cannot warranty the accuracy or reliability of the data feed furnished by his/her MLS Board of Realtors.

3. Indemnification.
You agree to indemnify, defend and hold harmless UltimateIDX Inc., its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.
4. Third Party Rights.
The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of UltimateIDX Inc. and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
5.Term; Termination.
This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.
All billed MLS/IDX/RETS services are delivered under a signed contract with the ability to cancel with a 30 day written notice by Client.
6.Miscellaneous.
This Agreement shall all be governed and construed in accordance with the laws of state of Nevada applicable to agreements made and to be performed in The United States of America. You agree that any legal action or proceeding between UltimateIDX Inc. and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the State of Nevada. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. UltimateIDX Inc.’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. UltimateIDX Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you.
Any rights not expressly granted herein are reserved.

Privacy:

Your privacy is important to UltimateIDX Inc. and UltimateIDX.com. No personal information or email addresses collected on UltimateIDX.com will be shared or sold to 3rd parties. This information that is collected on our site such as e-mail addresses, names & phone numbers will only be used by UltimateIDX Inc. and its associates to help our clients purchase RETS and IDX services and will not be sold to outside organizations. By entering this information you are giving the UltimateIDX Inc. members the right to contact you via the methods you submit! Refund Poicy

There are NO Refunds;

• All billed IDX/MLS services are delivered under a signed contract with the ability to cancel with a 30 day written notice.
• All website designs are completed as per Client instructions per our written agreement.
• All SEO Clients receive services as per our written agreement and there are NO guarantees for Search Engine Rankings.
• Pay Per Click Clients receive services as per our written agreement and may cancel at any time.
• Clients receiving custom programming receive hourly charges for programming as directed.
• Clients requesting Custom MLS Data mapping receive specialized programming as requested fot UltimateIDX Services.
